Yellowstone.ai Terms of Service

These Terms of Service ("Terms") are an agreement between you and Yellowstone.ai LLC, a Wisconsin limited liability company ("Yellowstone.ai," "we," "us," or "our"). They apply to your access to and use of: (i) our websites, including yellowstone.ai, and all associated pages (the "Site"); (ii) our mobile applications (the "App"); (iii) our camera management portal and cloud services; (iv) the wireless internet access service we provide for our cameras and devices (the "Connectivity Service," described in Section 4); and (v) any software or firmware installed on or downloaded to our products (together, the "Services").


By creating an account, activating a camera, purchasing a Data Plan, or otherwise using the Services, you agree to these Terms, including the automatic renewal provisions in Section 5 and the arbitration agreement and class action waiver in Section 15. Section 15 requires that disputes between you and Yellowstone.ai be resolved by binding individual arbitration, not in court or by jury trial, unless you opt out as described there. If you do not agree to these Terms, do not use the Services.


The purchase of physical products from our Site is also governed by our shipping, return, and warranty policies posted on the Site. Our Privacy Policy describes how we collect and use information about you.


 


 

1. Eligibility

You must be at least 18 years of age (or the age of legal majority where you live) to create an account and use the Services. The Services are currently offered for use in the United States and Canada only.


If you use the Services on behalf of a business or other organization — for example, an outfitting operation, farm, ranch, or land management company — you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.

2. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate account information and keep it up to date. Notify us promptly at support@yellowstone.ai if you believe your account has been accessed without your permission.

3. Products and Services

Yellowstone.ai sells cellular trail cameras and related accessories (the "Products") and provides the Services that allow your cameras to transmit images and data wirelessly to your account. Product hardware warranties are addressed in our separate warranty policy and are not modified by these Terms.

4. The Connectivity Service

When you purchase a Data Plan, you are purchasing wireless internet access for your camera: the ability for your camera to connect to the internet over cellular networks and transmit your photos, videos, and camera status data to you. Yellowstone.ai provides this internet access service using the networks of underlying wireless carriers.


Features made available with your Data Plan — such as the App, web portal, image storage, and notifications — are provided as part of and incidental to this internet access service, to enable you to receive, view, and manage the data your camera transmits.


Your use of the Connectivity Service must comply with the acceptable use policies of our underlying network carriers, as applicable to the networks over which your data travels. The Connectivity Service is provided for use with Yellowstone.ai cameras and devices only; you may not use it, or attempt to use it (including by removing a SIM), to provide internet access to any other device.


Coverage and delivery. Cellular coverage varies by location, terrain, weather, network conditions, and carrier infrastructure, none of which we control. We do not guarantee that the Connectivity Service will be available in any particular location or at any particular time, or that any specific image or notification will be transmitted or delivered. The Services are not a security or life-safety system and must not be relied upon for security monitoring, emergency notification, or protection of persons or property.

5. Data Plans, Billing, and Cancellation

(a) Plans and fees. Data Plans are offered on a monthly or annual basis at the prices shown at the time you subscribe. Where applicable law imposes taxes, fees, or surcharges on the Services, you are responsible for them and we may collect them with your payment.


(b) AUTOMATIC RENEWAL. UNLESS YOU CANCEL BEFORE THE END OF YOUR CURRENT BILLING PERIOD, YOUR DATA PLAN WILL AUTOMATICALLY RENEW FOR SUCCESSIVE MONTHLY OR ANNUAL TERMS (MATCHING THE TERM YOU SELECTED), AND THE THEN-CURRENT PLAN FEE WILL BE CHARGED TO YOUR PAYMENT METHOD ON FILE AT EACH RENEWAL.


(c) Cancellation. You may cancel a Data Plan at any time through your account or by contacting support@yellowstone.ai. Cancellation takes effect at the end of your current billing period. Fees already paid are non-refundable, except as described in Section 5(e) or as required by law. You may deactivate a camera seasonally and reactivate it later; reactivation is billed from the reactivation date.


(d) Adding cameras. If you activate an additional camera mid-cycle on a monthly plan, we may charge a prorated fee for the remainder of the current cycle and bill the full amount on your regular billing date thereafter.


(e) Price changes. We may change Data Plan prices. We will notify you by email in advance of any price change to a plan you currently subscribe to, and the new price will take effect at your next renewal. If you do not agree to a price change, cancel before the renewal takes effect. If you are charged a renewed annual plan at an increased price, you may cancel within 14 days of that charge for a prorated refund of the unused portion.


(f) Failed payments. If we cannot charge your payment method, we may retry it, use updated card details provided by your card network, and suspend the Connectivity Service for the affected camera until payment succeeds. You remain responsible for amounts incurred before suspension or cancellation.


(g) Payment processing. Payments are processed by third-party payment processors. We do not store full payment card numbers on our systems.

6. Your Content

"Your Content" means the photos, videos, and other data captured by your cameras and transmitted through the Services, and any other content you upload to the Services.


You own Your Content. You grant Yellowstone.ai a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, reproduce, display (to you and those you share with), and process Your Content solely as needed to (i) provide, maintain, secure, and troubleshoot the Services; and (ii) develop and improve automated features of the Services, such as species detection and image categorization, as described in our Privacy Policy.


We will not use Your Content in our marketing or public materials without first obtaining your permission. This license ends when Your Content is deleted from the Services, except for content already incorporated into improvements to our Services under (ii) above and copies retained in routine backups for a limited period.


You represent that you have the rights necessary to capture and transmit Your Content and that Your Content and your use of the Services will not violate any law or the rights of any person, including privacy rights. You are solely responsible for where you place your cameras and what they record.


Storage and deletion. Your Content remains available in your account until you delete it, including while your camera or Data Plan is inactive. However, we reserve the right to delete content and data associated with accounts that have had no active Data Plan and no logins for more than 12 months. We will make reasonable efforts to notify you at the email address on your account before deleting content under this provision.

7. Acceptable Use

You agree to use the Products and Services only for lawful purposes. Without limiting that obligation, you will not:


  • use the Products or Services in violation of any hunting, game, trespass, surveillance, or privacy law, including state and provincial regulations governing the use of trail cameras or cellular-enabled cameras for hunting or scouting — you are solely responsible for knowing and complying with the camera-use rules that apply where your cameras are placed;

  • place cameras on land you do not own or have permission to use, or use the Services to monitor individuals in violation of law;

  • resell, sublicense, or provide the Services to third parties as a service, except under a separate written agreement with us (dealers and outfitters: contact us);

  • interfere with or disrupt the Services or the underlying networks, or attempt to circumvent usage limits, security measures, or plan restrictions;

  • reverse engineer the Products, firmware, or Services, except to the extent permitted by applicable law;

  • use data mining, scraping, or automated extraction tools on the Services; or

  • upload content that is unlawful, infringing, or malicious (including viruses or harmful code).


We may investigate violations and may suspend or terminate your access for conduct that violates this Section, without refund of prepaid fees attributable to the violation.

8. Intellectual Property; Feedback

The Services, including all software, firmware, designs, text, graphics, logos, and trademarks, are owned by Yellowstone.ai or our licensors and are protected by law. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App, portal, and firmware solely with your Yellowstone.ai Products for your own use of the Services. No other rights are granted.


If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without compensation or obligation to you.


Certain software components may be subject to open source licenses; those licenses govern to the extent they conflict with these Terms.

9. Third-Party Services

The Services depend on third parties we do not control, including wireless carriers, cloud hosting providers, app stores, and payment processors. Their availability and performance affect the Services, and we are not responsible for their acts, omissions, or outages. Your use of third-party services may be subject to their own terms.

10. Termination

You may stop using the Services and cancel your account at any time. We may suspend or terminate your access to the Services if you materially breach these Terms, if required by law or by our carriers, or if we discontinue the Services, in which case we will provide reasonable advance notice where practicable and a prorated refund of prepaid, unused Data Plan fees if we discontinue the Services entirely. Sections that by their nature should survive termination (including Sections 6, 8, and 11 through 17) survive.

11. Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR OUR WRITTEN WARRANTY POLICY, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT COVERAGE WILL BE AVAILABLE IN ANY LOCATION, OR THAT ANY IMAGE, VIDEO, OR NOTIFICATION WILL BE CAPTURED, TRANSMITTED, OR DELIVERED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YELLOWSTONE.AI AND ITS OWNERS, EMPLOYEES, AGENTS, SUPPLIERS, AND CARRIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA (INCLUDING LOST OR UNDELIVERED IMAGES), OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF (A) $100 OR (B) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE CLAIM AROSE. THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, OR TO OUR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT.

13. Indemnification

To the fullest extent permitted by law, you will indemnify and hold harmless Yellowstone.ai and its owners, employees, and agents from and against claims, damages, and expenses (including reasonable attorneys' fees) arising out of (a) Your Content, including where and what your cameras record; (b) your violation of these Terms or of any law, including hunting, trespass, surveillance, and privacy laws; or (c) your misuse of the Products or Services.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles, except to the extent preempted by U.S. federal law (including the Federal Arbitration Act). Any dispute not subject to arbitration under Section 15 must be brought exclusively in the state or federal courts located in Wisconsin, and you consent to their jurisdiction, except where your local consumer protection law requires otherwise.

15. Dispute Resolution; Arbitration Agreement; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.


(a) Informal resolution first. Before filing any claim, you and we agree to try to resolve the dispute informally. Send a written description of your claim to Yellowstone.ai LLC, [MAILING ADDRESS], or legal@yellowstone.ai, including your name, contact information, a description of the dispute, and the relief you seek. We will do the same for claims against you. The parties will negotiate in good faith for 45 days before either may commence arbitration.


(b) Binding individual arbitration. Except as provided in (c), any dispute arising out of or relating to these Terms, the Products, or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator, under the Federal Arbitration Act. The arbitrator's award may be entered in any court of competent jurisdiction. Arbitration fees will be allocated in accordance with the AAA rules.


(c) Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property.


(d) CLASS ACTION WAIVER. ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING.


(e) Coordinated filings. If 25 or more similar claims are asserted against us by the same or coordinated counsel, the parties agree the claims will be administered in staged batches under the AAA's Mass Arbitration Supplementary Rules, with an initial set of bellwether arbitrations followed by mediation of the remaining claims before further arbitrations proceed.


(f) Your right to opt out. You may opt out of this arbitration agreement and class action waiver by emailing legal@yellowstone.ai within 30 days of first accepting these Terms, stating your name, address, email, and your intent to opt out of arbitration. Opting out does not affect any other provision of these Terms.


(g) Severability. If any part of this Section 15 is found unenforceable, the remainder remains in effect, except that if the class action waiver is found unenforceable as to a particular claim, that claim must proceed in court rather than arbitration.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you — for example, by email or notice in the Services — before the changes take effect. Your continued use of the Services after changes take effect means you accept the updated Terms. If you do not agree, stop using the Services and cancel your Data Plan. You may reject material changes to Section 15 within 30 days of notice by emailing legal@yellowstone.ai, in which case the prior version of Section 15 continues to apply to you.

17. Miscellaneous

These Terms, together with the policies referenced in them, are the entire agreement between you and Yellowstone.ai regarding the Services. If any provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Notices and transactions between us may be conducted electronically.
